Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and Payment Processing Academy ("Payment Processing Academy," "we," "us," or "our") and govern your access to and use of our websites, including paymentprocessing.academy, our online courses, downloadable materials such as the Playbook, communications, and any related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Description of the Services

Payment Processing Academy provides educational content, training programs, and resources designed to help entrepreneurs learn the payments industry, including how to source merchant accounts and build a residual income portfolio. Some content is free; other content requires registration, purchase, or an active subscription.

3. Eligibility and accounts

You must be at least 18 years old and able to form a legally binding contract to use the Services. You agree to provide accurate, current, and complete information when you register, request the Playbook, or contact us, and to keep that information up to date. You are responsible for safeguarding any login credentials and for all activity that occurs under your account.

4. SMS communications

By providing your mobile phone number and agreeing to receive text messages from Payment Processing Academy, you consent to receive SMS messages that may include alerts, promotions, marketing offers, account notifications, updates about our courses and the Playbook, event reminders, and other communications related to the Services. Message frequency varies.

5. Purchases, billing, and refunds

Prices, payment terms, and any refund policy for paid programs will be presented at the point of purchase and are incorporated into these Terms by reference. Unless expressly stated otherwise at checkout or required by law, all sales are final and non-refundable once digital materials have been delivered or course access has been granted. You authorize us and our payment processors to charge the payment method you provide for all applicable fees and taxes.

6. Intellectual property

The Services and all content we make available — including text, graphics, videos, audio, slides, workbooks, the Playbook, scripts, and software — are owned by Payment Processing Academy or our licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the materials for your own non-commercial educational use.

You may not copy, redistribute, publish, sell, sublicense, share login access to, publicly display, or create derivative works from any of our materials without our prior written consent.

7. Acceptable use

You agree not to:

  • Use the Services to violate any law or the rights of others.
  • Resell, rent, or share access to paid materials or community spaces.
  • Scrape, crawl, reverse engineer, or attempt to extract the underlying code or data of the Services.
  • Upload viruses, malware, or content that is unlawful, harassing, defamatory, or infringing.
  • Interfere with or disrupt the Services or the servers and networks that deliver them.

We may suspend or terminate access for any user who violates these Terms, with or without notice.

8. User submissions

If you submit comments, questions, testimonials, or other content to us or through the Services, you grant Payment Processing Academy a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, and display that content in connection with operating and promoting the Services. You represent that you own or have the necessary rights to grant this license.

9. Educational content; no income guarantee

The Services are provided for educational and informational purposes only and do not constitute legal, financial, tax, or investment advice. Building a payments business involves risk, and individual results vary based on factors outside our control, including effort, skill, market conditions, and existing relationships. We make no representation or warranty that you will earn any specific amount of income or achieve any particular result from using the Services or applying the materials.

10. Disclaimer of warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYMENT PROCESSING ACADEMY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

12. Indemnification

You agree to defend, indemnify, and hold harmless Payment Processing Academy and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

14. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Payment Processing Academy is organized, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in that jurisdiction, and you consent to the personal jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Effective date" above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.
